I am pleased to share the exciting news that Federal Signal Corporation (“Federal Signal”), a public company that trades under the ticker “FSS” on the New York Stock Exchange (NYSE), has signed a definitive agreement to acquire Mega Corporation. This represents an important strategic step for our Company.

Federal Signal builds and delivers equipment of unmatched quality that moves material, cleans infrastructure, and protects the communities where its people work and live. Founded in 1901, Federal Signal is a leading global designer, manufacturer and supplier of products and total solutions that serve municipal, governmental, industrial and commercial customers. Headquartered in Downers Grove, Illinois, with manufacturing facilities worldwide, the Company currently operates two groups: the Environmental Solutions Group (“ESG”) and the Safety and Security Systems Group (“SSG”). 

Products currently manufactured by ESG include a range of specialty vehicles, such as street sweepers, sewer cleaners, industrial vacuum loaders, vacuum- and hydro-excavation (“safe-digging”) trucks, multi-purpose maintenance vehicles, high-performance water blasting equipment, refuse collection and recycling trucks, road-marking and line-removal equipment, dump truck bodies, trailers, and metal extraction support equipment. In the markets that it serves, the businesses within ESG are more commonly known by their well-established, reputable brands, which include Elgin Sweeper, Vactor, TRUVAC, Trackless, Westech, Guzzler, Jetstream, New Way, Mark Rite Lines, Blasters, Hog Technologies, Ox Bodies, Crysteel, J-Craft, Duraclass, OSW, Rugby, Travis, Bucks, Switch-N-Go, New Way, Ground Force, and TowHaul. ESG also includes the operations of FS Depot, FS Solutions and Joe Johnson Equipment, as part of a comprehensive aftermarket platform that engages in the sale of parts, service and repair, equipment rentals, and training, leveraging over 36 service locations and customer support locations which are strategically positioned across North America. 

Products currently manufactured by SSG include public safety equipment, such as vehicle lightbars and sirens, industrial signaling equipment, public warning systems and general alarm/public address systems.
